These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Habify Labs ("we," "us," or "our"), concerning your access to and use of the Habify Blockchain, website, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms of Use. If you disagree with any part of these terms, you may not access the Services.

2. Services Description

The Habify Blockchain is a decentralized blockchain platform powered by the H-Ethash Algorithm. Our Services may include:

• Access to the Habify Blockchain network
• Developer tools and SDKs
• Wallet services
• Block explorer
• Documentation and educational resources
• Technical support

As our Services evolve, we may add new features or remove existing ones. We will notify users of significant changes to our Services through our website or other communication channels.

3. Eligibility

By using our Services, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement with us

Open Source Components

Certain components of our Services may be licensed under open-source licenses. In such cases, your use of those components is governed by the applicable open-source license, which will be made available to you.

Developer Materials

We may provide software development kits (SDKs), application programming interfaces (APIs), code samples, and other developer materials. Your use of these materials is subject to any additional terms that may accompany them.

6. User Conduct

You agree not to use our Services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
• To transmit or facilitate the transmission of any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• To impersonate or attempt to impersonate Habify Labs, a Habify Labs employee, another user, or any other person or entity
• To engage in any activity that could damage, disable, overburden, or impair the functioning of our Services
• To attempt to gain unauthorized access to, interfere with, or disrupt any part of our Services
• To use our Services for any purpose that is fraudulent, deceptive, or harmful

7. Blockchain Transactions and Risk Disclosure

By using our blockchain-based Services, you acknowledge and agree that:

• Blockchain technology and cryptocurrencies involve significant risks, including price volatility, regulatory uncertainty, and technical vulnerabilities
• Transactions on the blockchain are irreversible and immutable once confirmed
• You are solely responsible for maintaining the security of your private keys and wallet credentials
• We do not control the underlying blockchain protocols and cannot guarantee their functionality, security, or availability
• Network fees, transaction times, and other blockchain parameters may vary based on network conditions
• Regulatory framework for blockchain technology and cryptocurrencies is evolving, and changes may adversely affect the Services

8. Disclaimer of Warranties

YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, HABIFY LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
• THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• ANY ERRORS OR DEFECTS IN THE SERVICES WILL BE CORRECTED
• THE SERVICES OR ANY CONTENT AVAILABLE THROUGH THE SERVICES WILL BE ACCURATE OR RELIABLE

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HABIFY LABS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THIS INCLUDES, BUT IS NOT LIMITED TO:

• PERSONAL INJURY
• PAIN AND SUFFERING
• EMOTIONAL DISTRESS
• LOSS OF REVENUE
• LOSS OF PROFITS
• LOSS OF BUSINESS OR ANTICIPATED SAVINGS
• LOSS OF USE
• LOSS OF GOODWILL
• LOSS OF DATA
• ANY OTHER LOSSES (WHETHER FORESEEABLE OR NOT)

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless Habify Labs, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Use
• Your use of the Services
• Any content or transactions you submit, post, or transmit through the Services
• Your violation of any law or the rights of a third party

11. Term and Termination

These Terms of Use will remain in full force and effect while you use the Services. We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• A breach of these Terms of Use
• A violation of applicable laws or regulations
• At our sole discretion for any reason
• Upon request by law enforcement or other government agencies

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms of Use that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms of Use and your use of the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Arbitration

At our sole discretion, we may require you to submit any disputes arising from the use of these Terms of Use or the Services to arbitration under the rules of the American Arbitration Association. Arbitration shall be conducted in Delaware, or another location mutually agreeable to the parties.

Any judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Miscellaneous

Entire Agreement

These Terms of Use, our Privacy Policy, and any other agreements expressly incorporated by reference herein constitute the sole and entire agreement between you and Habify Labs with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Severability

If any provision of these Terms of Use is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

No waiver of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms of Use or your rights or obligations under these Terms of Use without our prior written consent. We may assign our rights and obligations under these Terms of Use without your consent to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
